How to understand Triple Net and Commercial Real Estate Language!
 
 
As a commercial real estate broker with Commercial Properties, Inc., I get many prospects, tenants and even new brokers trying to understand Triple Net and other Commercial Real Estate terms. To help understand triple net, it’s important to know the definition as well as what costs are involved in a basic commercial lease.
 
Wikipedia's definition of Triple Net:

In commercial real estate, a net lease requires the tenant to pay, in addition to rent, some or all of the property expenses which normally would be paid by the property owner (known as the "landlord" or "lessor").

 
Costs associated with most commercial real estate leases can be broken into three areas:
  • Base Rent
  • Triple Nets
  • Electric and Janitorial

 Triple net, referred to as “NNN” (in a triple net lease), represents the three major “net” costs: 1. property taxes,   2. property insurance and 3. common area maintenance (CAMs) which includes water.

When considering leasing commercial real estate, there three (3) ways you can go into a lease.
1. Triple Net Lease
2. Modiefied Gross Lease
3. Full Service Lease
I describe each of these n in detail below. The words "Triple Net" is used commonly when dealing with commercial real estate because no matter which vechicle is used to take a lease, the landlord has the Triple Net's to deal with. They are getting paid regardless how you, the tenant, feel about it. Typically the Triple Net's are a pass through cost that the landlord passes on. These costs are seldom marked up as a profit center for the landlord.
 
 
Here is more information on Triple Net:
A triple net “Lease” is one in which the tenant pays all of the ongoing operating expenses. The landlord/owner charges an annual base rate plus a pass through cost of the three major nets. Other costs such as utilities, janitorial, internet, phone, etc. are not included in the lease rent.
 
In its purest form, a Triple Net Lease is where the tenant manages the property/space, doing everything from paying all the operating expenses, property taxes, utilities, insurance premiums, maintenance and interior repairs.
 
Triple Net and Commercial Real EstateHere are the Three Main Lease Types:
 
Triple net lease: A triple net lease requires a tenant to pay a low lease rate while also paying other costs associated with operating and maintaining the space. In fact, with a triple net lease, the landlord will also pass on utility costs that are not separately metered, as well as all costs related to common area maintenance (CAM)
These so-called CAM charges include all expenses involved in maintaining common areas such as water/sewer, trash, restrooms, landscaping, parking lots, fire sprinklers, the roof or anything that all tenants share.
 
Modified Gross/ Modified Full Service Lease: Unlike a triple net lease, this agreement includes one, two or all three of the Nets as part of the base rent. It’s important not to assume what’s included and to ask your commercial broker what part of the nets have been included or modified. Typically a modified gross lease will include all the nets in the base rent.
 
Full Service Lease: This agreement is where the base rent covers all costs of taxes, insurance, maintenance along with the utilities and janitorial. The tenant pays a pre-determined lease rate each month and there are no pass-through expenses for operating expenses. A pure full service lease is the best of all worlds for a tenant, particularly for a medical office tenant. The tenant only has to write one check per month, and the amount only goes up incrementally over time with the normal progression of rent.
 
Monthly rent typically rises about 2 to 3% per year (although that’s negotiable). The tenant doesn’t have to worry about getting hit later for extra costs such as utilities, and the landlord handles all of the maintenance so the tenant can focus on growing their business.
 
 
 
Benefits of a Triple Net NNN Lease
 
The nice thing about a triple net lease is the potential savings you could have in the event the costs for the insurance, taxes, or CAM charges were to come down. In this case those savings are passed on to the tenant. Likewise, the downside of a triple net lease is that if expenses go up, those expenses as well are passed on to the tenant as a higher net cost.

Yikes!  If that is the definition of the job we all love and do everyday, how do our clients feel about us when we call on them? We didn't get into sales to betray, cheat and deliver people into slavery.  We got into sales for the opportunity to help business owners and to hopefully makes some money in the process, right?  We all bring value to our clients, but when was the last time we really, truly, worked on a value statement?  You know, what is that thing that we do everyday that our clients actually see value in working with us?  How do you differentiate yourself from the other 40 calls that business owner got today?

 

It might be time to dust off your value statement to bring the value back into selling.  If you're not sure where to start, try asking your existing clients.  Most people are afraid to ask their clients, but you get a chance to see their perspective on why they chose to work with you.

 

Once you've gathered some feedback, try and work those statements into tangible results to enhance your value statement.  Did you reduce the time their property was on the market? Did you help them save money?  Work those things into your value statement and try them out with the "SO WHAT" test. 

 

For example:  "I work with business owners and tenants to find the right property or building for their business." SO WHAT?  "Well, I helped them save time by showing them the right properties."  SO WHAT?  "Okay, well that saved them money by getting into a property that didn't need a complete overhaul to fit their business."  See how we are getting it down to what is important and valuable for our client?

 

 Now we can refine this to sound something like this:

 

"My name is _____________with _____________________.  I work with business owners to ____________________________ and help them save time and money by showing only the __________________________ for their needs." 

 

Now, there's alot of room for improvement and refining where you can communicate the dollars you saved a client. Give it a shot, take a risk.  Ask your clients for feedback and if you get stuck, I'm sure they would be happy to help you work on your value statement.  Happy Selling!

Are You Using Google Alerts?

Google Alerts is a great way to monitor your company and yourself. As a Commercial Real Estate Broker in Arizona, I'm interested in maintaining a good reputation, and am curious what's being said about me, my company and my industry. Google Alerts is a tool that alerts you through email everytime your name, company name or even a phrase is mentioned on the web. This feedback gives you the opportunity to know what's being searched for and/or being said allowing you the ability to respond to both positive and negative reviews online, promote your business and know if a link has been set up back to your website.

Google Alerts can also help when it comes to customer relationships. The relationship between a company and its customer is always moving and changing. One moment they're a raving fan and the next they are dissatisfied. Long-term customer relationships have similar risks as do family members or any other friendship. This "friendship" between you and a customer can be damaged by broken promises, lying or giving false impressions. This can result in missed opportunities, sales or even involve costly legal action.

Of course, not every business relationship goes bad or ends in a lawsuit. Many small businesses have maintained amicable and profitable relationships with their customers for decades. So how can you avoid making these disastrous mistakes in your relationships with your customers?

Below is a list of "Must Do's" for any small business:

Be Truthful in What You Say
Make sure that the words in your marketing messages (online or off) match what you actually do or sell. As the old phrase goes, "Say what you mean and mean what you say." Using hype can lead to false advertising.

Don't pretend to be bigger than you really are. Frequently, people choose to do business with smaller companies because they feel such organizations are more responsive to their needs or are more authentic.

Admitt Your Mistakes
No matter how small the mistake is, be upfront and willing to admit them. Acknowledge it, fix it and move on. Don't dodge clients by not answering e-mails or ignoring negative blog comments.

Be Transparant
It's natural as a small business person to want to keep as much of your business information private as possible. While customers are protective of their own privacy, they are expecting more and more transparency from the people they do business with. Use your website to host all your public business information for easy client access.

I encourage you to Google "Google Alerts", put in your name, your company name, your website and any phrase that will help you be "proactive" rather than "reactive" to build positive relationships with your customers. It free, it's easy - so what are you waiting for?

The Future of Commercial Retail

The Future of Commercial Retail....

Retail will go through a transformation of historical magnitude over the next decade as Gen X and Y’er make up more and more of the consumer base.  These young people, like you, grew up with the internet, that is how they communicate, socialize, entertain themselves, and shop.   Books Providers are history, so are Video Rentals, and specialty retail, many more will follow.  New Tenants will include, high service retail (Apple store), restaurants, and service providers.  Grocer and Drug will survive.  Look for Goodwill, and dollar store to continue their growth, look for conventional jewelers, sporting goods, discounters and commodity providers to fail in droves.  Circuit City and Linens and Things will be followed by many.  Some competitors will find there is room for one in a space with two, (think of Bass Pro Shop and Carbella’s, look for one to fail)

 
Retail will be a world of nail salons, barber shops, message and tattoo parlors, and restaurants.

What is a Full Service Lease in Commercial Real Estate?

Whether you’re looking for office, retail, or industrial space for a startup business or to expand
your existing business, it’s important to understand the costs associated with commercial real esta
te before you sign on the dotted line. When it comes to cost, your commercial real estate agent can tell you the average lease costs in the area you’re looking at and explain "What is a Full Service Lease in Commercial Real Estate?" Certain high-traffic or otherwise more desirable areas will cost more than less desirable areas. In addition to asking wh
at the cost is per square foot, it’s important to find out what is included in the total price. Are there any common area maintenance (CAM) costs, such as for maintaining courtyards, entryways, and the like? Within the space itself, does the cost include just the basic “shell” (white walls and concrete floors) or more? Are you responsible for property taxes, property insurance, utilities, or trash collection?
 
Costs associated with most commercial real estate leases can be broken into three areas:
  • Base Rent
  • Nets (NNN)
  • Electric and Janitorial

How these costs are charged to the tenant can be also be broken into three catagories:

- Triple Net Lease, referred to as “NNN” (in a triple net lease), represents the three major “net” costs: property taxes, property insurance and common area maintenance (CAM).

- Modified Gross Lease, referred to as "MG" is where all (or part) of the above nets are included as part of the base rent.

- Full Service Lease, referred to as "FS" is where the base rent, the nets, electrical and janitorial are included in one price per square foot lease rate. 

Here are more details of the Three Main Lease Types:
 
Triple net lease: A triple net lease requires a tenant to pay a low lease rate while also paying other costs associated with operating and maintaining the space. In fact, with a triple net lease, the landlord will also pass on utility costs that are not separately metered, as well as all costs related to common area maintenance (CAM)
These so-called CAM charges include all expenses involved in maintaining common areas such as water/sewer, trash, restrooms, landscaping, parking lots, fire sprinklers, the roof or anything that all tenants share.
 
Modified Gross/ Modified Full Service Lease: Unlike a triple net lease, this agreement includes one, two or all three of the Nets as part of the base rent. It’s important not to assume what’s included and to ask your commercial broker what part of the nets have been included or modified. Typically a modified gross lease will include all the nets in the base rent but not electric or janitorial.
 
Full Service Lease: This agreement is where the base rent covers all costs of taxes, insurance, maintenance along with the utilities and janitorial. The tenant pays a pre-determined lease rate each month and there are no pass-through expenses for operating expenses. A pure full service lease is the best of all worlds for a tenant, particularly for a medical office tenant. The tenant only has to write one check per month, and the amount only goes up incrementally over time with the normal progression of rent.
 
Monthly rent typically rises about 2 to 3% per year (although that’s negotiable). The tenant doesn’t have to worry about getting hit later for extra costs such as utilities, and the landlord handles all of the maintenance so the tenant can focus on growing their business.
  
 
Benefits of a Full Service Lease
 
The nice thing about a full service lease is in the event the costs for the insurance, taxes, or CAM charges were to go up, this expense would not affect your locked in lease rate. Likewise, the downside of a full service lease is that if expenses go down, those savings are passed on to the owner. Also, because electric and janitorial are included in the full service lease, you do not have to worry about managing these costs.

Triple Net Lease - What is NNN?

 
What is a Triple Net lease? As a commercial real estate broker with Commercial Properties, Inc., we get many tenants asking this question. To help understand a triple net lease, it’s important to know the definition as well as what costs are involved in the lease.
 
Wikipedia's definition of a Triple Net Lease:

In commercial real estate, a net lease requires the tenant to pay, in addition to rent, some or all of the property expenses which normally would be paid by the property owner (known as the "landlord" or "lessor").

 

 
 
Costs associated with most commercial real estate leases can be broken into three areas:
  • Base Rent
  • Triple Nets
  • Electric and Janitorial

Triple net, referred to as “NNN” (in a triple net lease), represents the three major “net” costs: property taxes, property insurance and common area maintenance (CAM).

 
A triple net “Lease” is one in which the tenant pays all of the ongoing operating expenses. The landlord/owner charges an annual base rate plus a pass through cost of the three major nets. Other costs such as utilities, janitorial, internet, phone, etc. are not included in the lease rent.
 
In its purest form, a Triple Net Lease is where the tenant manages the property/space, doing everything from paying all the operating expenses, property taxes, utilities, insurance premiums, maintenance and interior repairs.
 
Here are the Three Main Lease Types:
 
Triple net lease: A triple net lease requires a tenant to pay a low lease rate while also paying other costs associated with operating and maintaining the space. In fact, with a triple net lease, the landlord will also pass on utility costs that are not separately metered, as well as all costs related to common area maintenance (CAM)
These so-called CAM charges include all expenses involved in maintaining common areas such as water/sewer, trash, restrooms, landscaping, parking lots, fire sprinklers, the roof or anything that all tenants share.
 
Modified Gross/ Modified Full Service Lease: Unlike a triple net lease, this agreement includes one, two or all three of the Nets as part of the base rent. It’s important not to assume what’s included and to ask your commercial broker what part of the nets have been included or modified. Typically a modified gross lease will include all the nets in the base rent.
 
Full Service Lease: This agreement is where the base rent covers all costs of taxes, insurance, maintenance along with the utilities and janitorial. The tenant pays a pre-determined lease rate each month and there are no pass-through expenses for operating expenses. A pure full service lease is the best of all worlds for a tenant, particularly for a medical office tenant. The tenant only has to write one check per month, and the amount only goes up incrementally over time with the normal progression of rent.
 
Monthly rent typically rises about 2 to 3% per year (although that’s negotiable). The tenant doesn’t have to worry about getting hit later for extra costs such as utilities, and the landlord handles all of the maintenance so the tenant can focus on growing their business.
 
 
 
Benefits of a Triple Net NNN Lease
 
The nice thing about a triple net lease is the potential savings you could have in the event the costs for the insurance, taxes, or CAM charges were to come down. In this case those savings are passed on to the tenant. Likewise, the downside of a triple net lease is that if expenses go up, those expenses as well are passed on to the tenant as a higher net cost.

 Abated Rent Recaptured If Tenant Defaults

Landlord: In today’s market, it is common for landlords to give fully or partially abated rent as a lease concession to tenants.  Occasionally the abated rent is staggered throughout the term (e.g., one month’s rent is abated every year), but more often the abated rent is front-loaded at the beginning of the term.  The Landlord would like to have the Abated Rent Recaptured If Tenant Defaults but the Abated rent is factored into the overall economics of a lease deal, based on the tenant’s payment of rent during the entire length of the term.  Landlords should make sure that the lease allows the landlord to have the abated rent recaptured in the event of a tenant default.

A common mistake that landlords make with respect to abated rent is they state that the rent during the abated rent period is $0, “free” or “abated.”  Instead, the lease should provide for a rent amount, but state that the rent is abated if tenant fully and faithfully performs for the entire term of the lease.  If the tenant defaults, then the landlord can recapture the abated rent in its damages. 

Tenant: The same type of situation can occur with a Tenant. They should be careful to negotiate these provisions as well.  First, the tenant should require that the landlord may only recapture the abated rent if the landlord terminates the lease due to a tenant default.  The “full and faithful performance” language is ambiguous and a late payment of rent for 1 day (or similar minor breach) could be interpreted as a trigger event. It would be unfair for the landlord to claim that the abated rent is due unless the breach is material and the tenant has an opportunity to cure and fails to do so. 

Second, the tenant should negotiate that the landlord’s ability to recapture the abated rent is reduced over time, since the landlord is receiving the benefit of the lease over time.  For example, if the lease has a 10 year term and tenant performs for 7 years before breaching, the tenant could negotiate that the landlord received 70% of the intended benefit of the lease and should only recapture 30% of the abated rent.  This is a business issue for the landlord and tenant to negotiate. To avoid having a Landlord have the  Abated Rent Recaptured If Tenant Defaults, the tenant should consult an attorney to make sure the appropriate language is in place to protect their interests.

What is a Phase 1 and Do I Really Need One?
 
When it comes to a Commercial Inspection, many clients are told they may need a Phase 1 Inspection for Commercial Real Estate. The question asked is “What is the purpose of a Phase 1?”; “What does a Phase 1 inspection cover?”; Is it included in a standard inspection?”; “Can the same inspection company do a standard as well as a Phase 1 Inspection for Commercial Real Estate?”
These are all great questions. To start off, I feel it’s important to understand the definition of a Phase 1 Inspection for Commercial Real Estate. To do this, let’s go to the definition from Wikipedia:
 
An Environmental Site Assessment is a report prepared for a real estate holding which identifies potential or existing environmental contamination liabilities. The analysis, often called an ESA, typically addresses both the underlying land as well as physical improvements to the property. Contaminated sites are often referred to as "brownfield sites." In severe cases, brownfield sites may be added to the National Priorities List where they will be subject to the U.S. Environmental Protection Agency's Superfund program.
 
Actual sampling of soil, air, groundwater and/or building materials is typically not conducted during a Phase I ESA. The Phase I ESA is generally considered the first step in the process of environmental due diligence. Standards for performing a Phase I site assessment have been promulgated by the US EPA[1] and are based in part on ASTM in Standard E1527-05.[2]
 
If a site is considered contaminated, a Phase II Environmental Site Assessment may be conducted, ASTM test E1903, a more detailed investigation involving chemical analysis for hazardous substances and/or petroleum hydrocarbons.
 
 
 
When explaining the process to clients it’s also important to understand the purpose of a Phase 1 Inspection for Commercial Real Estate (ESA). GAEA Environmental Services writes “the purpose of a Phase 1 Inspection  is to identify, to the extent feasible, recognized environmental concerns in connection with the property. This assessment included a site reconnaissance as well as research and interviews with representatives of the public, property management, and regulatory agencies.”
 
A Phase 1 Inspection for Commercial Real Estate entails a very involved and detailed site visit by a qualified professional. Many Commercial inspection companies can do both a standard inspection as well as a Phase 1 Inspection for Commercial Real Estate.  When doing a Phase 1 inspection, the inspectors are looking for potential risks. These potential risks can be anything from a past gas station on or near the site that might have contaminated the ground water to there having been a dry cleaner on the site that might have spilled chemicals into the ground. There could have been past dumping on the site or an auto repair that did not handle the oils properly, lead in the paint, asbestos, and on and on. Overall, the focus of a Phase 1 Inspection for Commercial Real Estate is environmental not structural. Many lending institutions require a Phase 1 clearance before they will lend money.
 
In addition to a Phase 1, there are two other aspects that may come into play depending on what is found during the Phase 1 inspection and research. These are Phase 2 and Phase 3. Both Phase 2 and Phase 3 are more involved in the aspects of the environmental field. Phase 2 involves testing of the site such as coring into the earth and taking samples of the soil along with testing it to determine what is in the soil. The information during a Phase 2 will determine if the site warrants further investigation and/or to be remediated. If remediation is needed then starts Phase 3.
 
Each environmental Phase whether it is Phase 1, 2 or 3, has a very involved set of industry standard requirements. Each requires highly trained professionals to do properly. This is not an area to skimp on. Have a reliable company with vast experience do your Phase 1 inspection. Getting the cheapest deal for something this important I feel could easily be fiscally irresponsible. A properly done Phase 1 Inspection for Commercial Real Estate really is for everyone’s protection not just the buyer.

What is a Phase 1 and Do I Really Need One?
 
When it comes to a Commercial Inspection, many clients are told they may need a Phase 1 Inspection. The question asked is “What is the purpose of a Phase 1?”; “What does a Phase 1 inspection cover?”; Is it included in a standard inspection?”; “Can the same inspection company do a standard and a Phase 1 inspection?”
These are all great questions. To start off, I feel it’s important to understand the definition of a Phase 1 ESA. To do this, let’s go to the definition from Wikipedia:
 
An Environmental Site Assessment is a report prepared for a real estate holding which identifies potential or existing environmental contamination liabilities. The analysis, often called an ESA, typically addresses both the underlying land as well as physical improvements to the property. Contaminated sites are often referred to as "brownfield sites." In severe cases, brownfield sites may be added to the National Priorities List where they will be subject to the U.S. Environmental Protection Agency's Superfund program.
 
Actual sampling of soil, air, groundwater and/or building materials is typically not conducted during a Phase I ESA. The Phase I ESA is generally considered the first step in the process of environmental due diligence. Standards for performing a Phase I site assessment have been promulgated by the US EPA[1] and are based in part on ASTM in Standard E1527-05.[2]
 
If a site is considered contaminated, a Phase II Environmental Site Assessment may be conducted, ASTM test E1903, a more detailed investigation involving chemical analysis for hazardous substances and/or petroleum hydrocarbons.
 
 
 
When explaining the process to clients it’s also important to understand the purpose of a Phase I inspection (ESA). GAEA Environmental Services writes “the purpose of a Phase 1 Inspection  is to identify, to the extent feasible, recognized environmental concerns in connection with the property. This assessment included a site reconnaissance as well as research and interviews with representatives of the public, property management, and regulatory agencies.”
 
A Phase 1 inspection entails a very involved and detailed site visit by a qualified professional. Many Commercial inspection companies can do both a standard inspection as well as a Phase 1 inspection.  When doing a Phase 1 inspection, the inspectors are looking for potential risks. These potential risks can be anything from a past gas station on or near the site that might have contaminated the ground water to there having been a dry cleaner on the site that might have spilled chemicals into the ground. There could have been past dumping on the site or an auto repair that did not handle the oils properly, lead in the paint, asbestos, and on and on. Overall, the focus of a Phase 1 inspection is environmental not structural. Many lending institutions require a Phase 1 clearance before they will lend money.
 
In addition to a Phase 1, there are two other aspects that may come into play depending on what is found during the Phase 1 inspection and research. These are Phase 2 and Phase 3. Both Phase 2 and Phase 3 are more involved in the aspects of the environmental field. Phase 2 involves testing of the site such as coring into the earth and taking samples of the soil along with testing it to determine what is in the soil. The information during a Phase 2 will determine if the site warrants further investigation and/or to be remediated. If remediation is needed then starts Phase 3.
 
Each environmental Phase whether it is Phase 1, 2 or 3, has a very involved set of industry standard requirements. Each requires highly trained professionals to do properly. This is not an area to skimp on. Have a reliable company with vast experience do your Phase 1 inspection. Getting the cheapest deal for something this important I feel could easily be fiscally irresponsible. A properly done Phase 1 inspection really is for everyone’s protection not just the buyer.
